These Terms and Conditions (“Terms”) govern access to and use of the Rainwater Labs platform, products, services, and websites (collectively, the “Services”), operated by Rainwater Labs (“Rainwater Labs,” “we,” “our,” or “us”).

By accessing or using the Services, you (“User,” “you,” or “your”) agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

1. Definitions

  • “Platform”, means the Rainwater Labs software, systems, interfaces, and services.
  • “Tokens”, means prepaid usage units used to access AI-powered features.
  • “Campaign”, means any advertising strategy, creative, or execution workflow initiated through the Platform..
  • “Execution Fee”, means the upfront fee charged for campaign setup, publishing, and optimization.
  • “Advertising Platforms”, means third-party platforms including but not limited to Google, Meta, LinkedIn, Amazon, or others selected by Rainwater Labs.
  • “User Content”, means all data, text, inputs, brand notes, and materials submitted by the User.

2. Scope of Services

Rainwater Labs provides an AI-powered campaign design and execution platform that may include:

  • Automated campaign strategy generation
  • Target group and persona development
  • Ad copy and creative generation
  • Campaign publishing and management
  • Automated optimization and experimentation

Rainwater Labs reserves the right to modify, add, suspend, or discontinue any part of the Services at any time without liability.

Rainwater Labs does not act as a marketing agency, legal advisor, financial advisor, or advertising broker.

3. Eligibility and Account Responsibility

You represent and warrant that:

  • You are legally capable of entering into binding agreements.
  • You are authorized to act on behalf of any business entity you represent.
  • All information you provide is accurate and current.

You are responsible for all activities conducted through your account and for safeguarding your credentials.

4. Tokens, Payments, and Fees

4.1 Tokens

  • Tokens are prepaid usage credits used to access specific features.
  • Tokens do not expire.
  • Tokens are non-refundable, non-transferable, and not redeemable for cash.
  • Tokens may be used across multiple campaigns.

Rainwater Labs may modify token pricing and consumption logic at any time.

4.2 Campaign Budget and Execution Fee

  • Campaign execution requires selection of a campaign budget.
  • A 10% execution fee is charged upfront based on the campaign budget.
  • The execution fee covers campaign setup, publishing, management, and optimization.

Campaign budgets are separate from token purchases.

4.3 Taxes

All fees are exclusive of applicable taxes. Taxes, including GST in India, will be applied according to the User’s billing jurisdiction.

5. Campaign Launch, Control, and Execution

  • Campaigns are launched only after the User reviews strategy and creatives and manually initiates launch.
  • Once launched, campaigns cannot be paused, stopped, or reversed through the Platform.
  • Rainwater Labs executes campaigns on behalf of Users using internal systems and selected advertising platforms.

Rainwater Labs retains full discretion over:

  • Platform selection
  • Campaign structure
  • Creative formatting
  • Optimization logic

Platform availability may vary and may change without notice.

6. Advertising Platforms and Third Parties

Users acknowledge that:

  • Advertising platforms are independent third parties.
  • Rainwater Labs does not control advertising platform policies, review processes, or algorithms.
  • Campaign approval, delivery, and performance are determined by third-party platforms.

Rainwater Labs is not responsible for decisions, actions, outages, or policy changes of any advertising platform.

7. Compliance and Rejections

Users are solely responsible for ensuring that:

  • Their products, services, and claims comply with all applicable laws.
  • Their campaigns comply with applicable advertising regulations.

If a campaign is rejected by an advertising platform:

  • The Campaign Publishing and Platform Spend amount will be refunded.
  • Tokens used for strategy or creative generation are non-refundable.

Rainwater Labs may refuse or remove campaigns at its discretion.

8. No Performance Guarantees

Rainwater Labs makes no representations, warranties, or guarantees regarding:

  • Performance
  • Revenue
  • Leads
  • Conversions
  • Return on ad spend

All campaigns are provided on a best-effort basis. Results depend on external factors beyond Rainwater Labs’ control.

9. User Content

You grant Rainwater Labs a worldwide, non-exclusive, royalty-free right to use, reproduce, process, and display User Content solely for the purpose of providing the Services.

You represent that you own or have all rights necessary to provide User Content.

Rainwater Labs is not responsible for verifying the legality, accuracy, or regulatory compliance of User Content.

10. Prohibited Uses

You agree not to use the Services to:

  • Violate any law or regulation
  • Mislead consumers
  • Infringe intellectual property rights
  • Promote illegal, deceptive, or harmful activities
  • Interfere with platform security or integrity

Rainwater Labs may suspend or terminate access without notice for violations.

11. Intellectual Property

All Platform technology, software, workflows, prompts, and systems are owned by Rainwater Labs and protected by intellectual property laws.

Except for limited use of the Services, no rights are granted.

12. Disclaimers

The Services are provided “as is” and “as available.”

Rainwater Labs disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability or accuracy of data

13. Limitation of Liability

To the maximum extent permitted by law, Rainwater Labs shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, data, goodwill, or business interruption
  • Advertising platform decisions or outcomes

Rainwater Labs’ total cumulative liability shall not exceed the total amount paid by the User to Rainwater Labs in the three (3) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Rainwater Labs from all claims, damages, liabilities, and expenses arising from:

  • Your campaigns
  • Your products or services
  • Your User Content
  • Your violation of laws or platform policies

15. Termination

Rainwater Labs may suspend or terminate access at any time without notice.

Upon termination:

  • All outstanding payments remain due.
  • Tokens remain non-refundable.
  • Campaigns may be discontinued.

16. Confidentiality

All non-public technical, pricing, and operational details are confidential and may not be disclosed without written consent.

17. Modifications to Terms

Rainwater Labs may modify these Terms at any time.

Continued use constitutes acceptance of revised Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts located in India.

19. Force Majeure

Rainwater Labs shall not be liable for delays or failures caused by events beyond reasonable control, including platform outages, regulatory changes, or third-party service disruptions.
