These Terms & Conditions ("Terms") constitute a valid and binding agreement between you ("user", "you", or "your") and Rainwater Labs ("Company", "we", "us", "our") and govern your access to and use of the Rainwater Labs platform for digital marketing campaign automation.

By accessing or using Rainwater Labs, you expressly agree to these Terms. If you do not agree, do not use the platform.

1. Scope of Services

Rainwater Labs enables users to launch and automate digital ad campaigns using their campaign-related information via Google and Meta Ads APIs.
Our service includes campaign initialization and ongoing optimization using our automated systems only. No manual campaign management or advisory services are provided.
We do not offer creative services, copywriting, or campaign consulting outside the automated service.

2. User Requirements & Responsibilities

Users must log in with a valid Google or Facebook account to use the platform.
Users are solely responsible for the legality, safety, and truthfulness of their websites/apps/products/services that are promoted using our platform.
Users must not utilize the platform to advertise unlawful, prohibited, infringing, or fraudulent content or services.
Users are solely responsible for ensuring that the apps, websites, or services they submit for campaigns comply with all applicable ad platform policies and legal regulations. Any submission of apps or services that violate these rules is considered a breach of these Terms.
Rainwater Labs has no responsibility whatsoever for the nature, content, or consequences of user products, services, or campaigns.
By using the platform, you expressly agree to indemnify and hold harmless Rainwater Labs, its officers, agents, affiliates, and employees from all claims, damages, or legal action resulting from your content, advertisements, or use.

3. Payments & Refunds

All campaigns run exclusively on a prepaid, credit-based model. Campaigns will proceed only after adequate prepayment.
No refunds or credits will be provided if a user submits an app, website, or service that fails to comply with ad platform policies or these Terms, whether discovered before, during, or after campaign execution.
Users acknowledge that the onus of verifying app eligibility remains entirely with them.
All payment processing is handled via Razorpay. Users are responsible for any additional transaction or processing fees as applicable.

4. Account Termination, Suspension & Misuse

Rainwater Labs reserves the right to suspend or terminate any account in case of:

Suspected or actual unauthorized, fraudulent, or suspicious activity.
Violation of these Terms, or applicable laws.
Use of the platform to provide digital marketing as a service to third parties (resale/commercialization/profit-making schemes).
Abuse, harassment, or attempted disruption of the platform.
Submission of any app, website, or service that violates ad platform policies or falls under prohibited/restricted categories may result in account suspension and forfeiture of any prepaid balance, credits, or money paid.

Users may request a review of such terminations or suspensions via contact@rainwaterlabs.com, but the final decision rests solely with Rainwater Labs.

5. Prohibited Uses

You may not use Rainwater Labs for:

Promoting or advertising illegal, counterfeit, infringing, or restricted content or products.
Creating or abetting fraud, abuse, or harm to the platform, other users, or any third party.
Commercial resale or providing Rainwater Labs’ services as your own (SaaS, digital agency, etc.) without written approval.
Submission of apps or services that fall into prohibited or restricted categories on ad platforms constitutes misuse. Users remain fully responsible for verifying eligibility.
Rainwater Labs reserves the right to report suspected illegal activity to relevant authorities.

6. APP ELIGIBILITY RESPONSIBILITY

Users confirm that any app, website, or service submitted for campaigns fully complies with the policies of all ad platforms used, including but not limited to restrictions on gambling, financial services, adult content, alcohol, tobacco, healthcare, weapons, shocking or violent content, counterfeit goods, misleading claims, or political content.
Users acknowledge that any failure to comply is their sole responsibility, and Rainwater Labs will not issue refunds for any prepaid balance, credits, or payments in such cases.

7. Limitation of Liability

Rainwater Labs provides the platform strictly “as is” without warranties of any kind.
We expressly disclaim all liability for campaign outcomes, including clicks, leads, or conversions; system downtime; third-party errors or outages (including APIs of Google, Meta, AWS, or Razorpay); or lost profits, indirect, incidental, or consequential damages of any kind.
By using this platform, you knowingly assume all risks and consequences of the campaigns. You indemnify Rainwater Labs from any and all liability, claims, or damages arising out of or related to your use of the service.

8. Intellectual Property

Users retain ownership of all content and websites/apps promoted via Rainwater Labs.
Users may access their historical campaign data on the provided dashboard.
Rainwater Labs claims no rights to user campaign data for any commercial or secondary use.
Rainwater Labs’ name, logo, branding, and all proprietary technology are protected by Indian law and may only be used with our express written consent. Infringement will be prosecuted to the full extent of the law.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India.
Any disputes, controversies, or claims arising shall be subject to the exclusive jurisdiction of the competent courts in Haryana, India.

10. Communications & Notices

Rainwater Labs will provide all notices, communications, or policy updates via the platform. Users are responsible for checking the platform regularly for updates.

11. General Terms

Use of the platform is permitted only for users aged 18 years or older.
Rainwater Labs reserves the right to amend or update these Terms at any time without prior notice. The latest version will always be available on the platform, with the last updated date.
If any provision of these Terms is found invalid or unenforceable, the remainder shall remain in full force and effect.

Indian Legal Compliance

These Terms incorporate principles from the Indian Contract Act, 1872, Information Technology Act, 2000, and other applicable laws. By using Rainwater Labs, you acknowledge and agree to such compliance.
